These Terms of Use (the "Terms") govern access to and use of southpointcloser.com (the "Site"), operated by SOUTH POINT LLC, a New Mexico limited liability company with registered address at 1209 Mountain Road Pl NE Ste R, Albuquerque, NM 87110, United States ("South Point", "the Company", "we"). By accessing or using the Site you accept these Terms. If you do not accept them, do not use the Site.

1. Purpose and scope of the Site

The Site describes South Point's sales conversion and closing consultancy services at a general level, publishes working frameworks for reference, and provides a contact route for inquiries. The Site is informational. Nothing on it constitutes a binding offer, a proposal, a guarantee of availability, or professional advice for any specific situation. A client relationship with South Point arises only under a separate written services agreement signed by both parties; scope, fees, timelines, deliverables, responsibilities and every other commercial term of an engagement are established exclusively in that agreement. Fees are communicated in a written proposal before any engagement begins; this Site intentionally publishes no pricing.

2. Permitted use

You may access and view the Site, and use its contact form, for legitimate informational and business purposes. You agree not to:

• scrape, crawl or harvest the Site or its content in an abusive or systematic manner, or use its content to train commercial datasets without permission;
• probe, scan or test the vulnerability of the Site or its infrastructure, or attempt to breach any security or authentication measure;
• introduce malware, automate form submissions, or otherwise interfere with the Site's operation or other visitors' use of it;
• misrepresent your identity or affiliation in communications with us, or submit unlawful, defamatory or infringing content through the contact form;
• frame or mirror the Site, or use the Company's name or branding, in a way that suggests endorsement or affiliation that does not exist;
• use the Site in violation of any applicable law or regulation.

We may restrict or block access to the Site where we reasonably believe these Terms are being violated.

3. Intellectual property

Unless otherwise stated, the Site's copy, branding, logos, design, graphics, page structure, photographs and original materials — including the published frameworks — are owned by or licensed to SOUTH POINT LLC and are protected by copyright, trademark and other intellectual-property laws of the United States and other jurisdictions. The frameworks published on the resources page may be used for internal working purposes inside your own organization, with attribution preserved. Commercial republication, resale, redistribution or public rehosting of any Site content requires prior written permission from the Company. No license or right is granted by implication beyond viewing the Site for ordinary informational purposes and the internal-use permission just described.

4. No guarantee of results; no professional advice

Business, sales and revenue outcomes depend on many factors outside the Company's control, including lead quality, offer, pricing, market conditions, fulfillment and implementation discipline. Descriptions, examples and frameworks on this Site are informational and are not promises of revenue, close rates, conversion improvements or any specific result. Nothing on the Site is financial, investment, legal, tax or accounting advice. The separate Results Disclaimer published on this Site forms part of these Terms by reference.

5. Contact form and communications

Submitting the contact form or emailing us does not create a client relationship, an engagement, or any obligation on the Company beyond handling your data as described in the Privacy Policy. You are responsible for the accuracy of the information you submit. If you send us recorded sales calls or other materials for a written audit, you confirm that you have the right to share them, including any consent required from the people recorded, and that sharing them with us for review does not violate any law or agreement applicable to you.

6. Third-party sites and services

Links to third-party sites or tools are provided for convenience only. Their content, availability, terms and privacy practices are outside our control and are not endorsed by us; your use of them is at your own risk and governed by their own terms.

7. Disclaimer of warranties

The Site is provided "as is" and "as available". To the maximum extent permitted by applicable law, the Company disclaims all warranties, express or implied, regarding the Site, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components, although we work to keep it fast, secure and accurate.

8. Limitation of liability

To the maximum extent permitted by applicable law, SOUTH POINT LLC and its members, managers and personnel shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for lost profits, lost revenue or lost data, arising from or related to your use of, or inability to use, the Site, even if advised of the possibility of such damages. To the same extent, the Company's total aggregate liability arising from or related to the Site shall not exceed one hundred US dollars (US $100). Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability connected to contracted consulting services is governed exclusively by the signed client agreement for those services, not by these Terms.

9. Indemnification

You agree to indemnify and hold harmless the Company from claims, damages and reasonable costs (including attorneys' fees) arising from your violation of these Terms or your misuse of the Site, to the extent permitted by applicable law.

10. Governing law and venue

These Terms, and any dispute arising from the use of the Site, are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules. The state and federal courts located in Bernalillo County, New Mexico shall have exclusive jurisdiction over such disputes, and each party consents to personal jurisdiction and venue there. If you access the Site from another jurisdiction, you are responsible for compliance with your local laws; mandatory consumer protections of your place of residence, where they apply by law, are not displaced by this clause. The governing law and venue applicable to any services engagement are stated in the signed client agreement for that engagement and may differ.

11. Severability, waiver and entire agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is replaced by a valid one that most closely reflects its intent. A failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, the Cookie Policy and the Results Disclaimer, are the entire agreement between you and the Company regarding use of the Site.

12. Changes

We may update the Site and these Terms at any time. The current version, with its effective date, is published on this page; continued use of the Site after a change constitutes acceptance of the updated Terms.
